ADELLA OVENS AFFILIATE PROGRAM - TERMS AND CONDITIONS

1. Program Overview
Welcome to the Adella Ovens Affiliate Program. These Terms and Conditions ("Terms") govern your participation in our affiliate program. By registering as an affiliate and promoting Adella Ovens products, you agree to comply with all terms outlined below.
The Adella Ovens Affiliate Program is designed to reward our customers and partners who successfully refer other customers and drive sales through their unique affiliate links. This is a commission-based partnership.
2. Eligibility

You must be at least 18 years old to participate.

You must register through our official affiliate portal at adellaovens.my/affiliate.

Registration is free but subject to our approval.

We reserve the right to reject applications or terminate affiliates who violate these terms.

Employees and immediate family members of Adella Ovens Sdn Bhd are not eligible.
3. Affiliate Registration & Account

Upon registration, you will automatically be assigned to the BASIC tier.
-
You will receive a unique affiliate link (promo code) to promote Adella Ovens products.
-
You are responsible for maintaining the confidentiality of your affiliate account credentials.
-
Any fraudulent activity or account misuse will result in immediate termination without payout.

You may not use multiple accounts to circumvent program rules.
4. Affiliate Ranks & Advancement
BASIC Rank (Automatic on Registration)

Entry: Automatic assignment upon sign-up

Commission Rate: 5% default
-
Support Response: 48 hours
PREMIUM Rank
-
Entry Requirement: RM1000 in total sales OR 10 completed referrals within any 60-day period
-
Commission Rate: 8% default (may vary for certain product category)
-
Achievement Bonus: RM30 upon tier promotion

Support Response: 24 hours
-
Duration: Automatic if criteria maintained; re-qualify anytime if dropped
GOLD Rank
-
Entry Requirement: RM2,500 in total sales OR 15 completed referrals within any 60-day period

Commission Rate: 12% default (may vary for certain product category)

Achievement Bonus: RM80 upon tier promotion
-
Support Response: Priority (6 hours)
Rank DEMOTION
You may be demoted from your current tier if:
-
Premium → Basic: Unable to maintain either RM1000 in total sales OR 5 completed referrals within subsequent 60-day period
-
Gold → Premium: Unable to maintain either RM2,500 in total sales OR 10 completed referrals within subsequent 60-day period
You may re-qualify for a higher tier anytime by meeting the entry requirements again.
5. Commission Structure
Commission Calculation

Commission is calculated based on the product category purchased, not the discount given to the customer.

Commission is earned when a customer completes a purchase through your unique affiliate link.
-
Commissions are calculated as a percentage of the product price before taxes or shipping.
-
Multiple rates apply: The lowest applicable rate (product-specific or tier-based) is used.
Product Categories
-
Ingredients & Flour Fixed at 5% for all rank
-
Accessories & Tools 5%, 8% or 12% varies according to rank rate
-
Ovens & Equipment 5%, 8% or 12% varies according to rank rate
Note: Specific commission rates for each product category and rank are displayed in your affiliate dashboard and may be adjusted periodically. The default rank rates apply unless product-specific rates are configured.
7. Commission Payments & Payouts
Payment Terms
-
Commissions are calculated and recorded monthly.
-
Commissions earned in a calendar month are paid out by the 15th of the following month.
-
Minimum payout threshold: RM50. If earnings are below RM50, they carry over to the next month.
-
Payments are made via bank transfer to the account provided during registration.
Payment Hold
-
Adella Ovens reserves the right to hold payments pending investigation of suspicious activity.
-
Payment may be delayed if there are chargebacks, returns, or disputes related to your referred sales.
-
If a customer initiates a chargeback, the entire commission for that transaction will be reversed.
Failed Transactions
-
If a payment fails due to incorrect banking details, you are responsible for resubmitting accurate information.
-
We are not liable for payment delays caused by incomplete or incorrect account information.
8. Prohibited Practices
As an affiliate, you agree NOT to:

Fraudulent Activity: Generate fake clicks, use bot traffic, or manipulate your affiliate link.

Self-Dealing: Make purchases using your own affiliate link to inflate commissions.
-
Incentivized Clicks: Pay people to click your affiliate link without genuine intent to purchase.
-
Misleading Marketing: Make false claims about products, quality, or guarantees.
-
Spam & Harassment: Send unsolicited emails, SMS, or messages promoting your affiliate link.
-
Competitor Bidding: Bid on Adella Ovens brand keywords in paid ads without permission.
-
Cookie Stuffing: Embed affiliate links in ways designed to capture unrelated clicks.
-
Network Recruitment: Recruit people into a network structure for recruitment-based earnings (MLM practices).
-
Unauthorized Discounts: Offer discounts beyond your tier limit or combine promotions without permission.
-
Brand Impersonation: Pose as an Adella Ovens employee or official representative.
Violation of any prohibited practice will result in immediate account termination and forfeiture of earned commissions.
9. Intellectual Property & Usage Rights

Your use of the Adella Ovens name, logo, and brand is limited to promoting our products through your affiliate link only.

You may not create products, services, or content that closely mimic Adella Ovens offerings.
-
All marketing materials provided by Adella Ovens remain our property. You may use them only as directed.
-
You grant Adella Ovens the right to use your name and success story in marketing materials (unless you opt out).
10. Termination
Grounds for Termination

Violation of these Terms and Conditions
-
Prohibited practices as outlined in Section 8
-
6 months of inactivity (zero sales or clicks)
-
Fraudulent activity or chargebacks
-
Legal violations or government action against you
-
Abuse of customer discount codes or commission caps
Termination Process
-
We will provide written notice before termination (except in cases of fraud).
-
Upon termination, your affiliate account and links will be deactivated.
-
Any unpaid commissions may be forfeited if termination is due to violation.
-
Valid commissions earned before termination will be paid according to the payment schedule, subject to chargebacks and returns.
Re-Application
-
Terminated affiliates may reapply after 90 days, at our sole discretion.
-
We reserve the right to reject reapplications indefinitely.
11. Returns, Refunds & Chargebacks
-
Commissions are earned when a customer places an order, NOT when payment is finalized.
-
If a customer requests a refund within 30 days of purchase, the commission for that transaction will be reversed.
-
If a customer initiates a chargeback, the full commission for that order will be deducted from your account.
-
Multiple chargebacks may result in account suspension or termination.
12. Links, Cookies & Tracking
-
Your unique affiliate link contains a tracking cookie that expires after 90 days of inactivity.
-
We are not responsible for technical issues with affiliate links, including 404 errors or redirects.
-
If you notice tracking issues, notify us immediately. We will investigate but cannot guarantee recovery of lost commissions.
-
We use industry-standard tracking technology. Affiliate conversions are final unless we detect clear fraud.
13. Modifications to Terms

Adella Ovens reserves the right to modify commission rates, caps, and tier requirements at any time.

We will provide 30 days written notice of significant changes.
-
Changes to prohibited practices may take effect immediately for safety/legal reasons.
-
Your continued participation constitutes acceptance of updated terms.
14. Liability & Disclaimers
No Guarantee of Earnings

Affiliate participation does not guarantee any minimum income.
-
Earnings depend entirely on your marketing effort, strategy, and market conditions.
-
Adella Ovens does not provide marketing guarantees or performance bonuses.
No Employment Relationship
-
Affiliates are independent contractors, not employees.
-
You are responsible for your own taxes, accounting, and legal compliance.
-
You are not eligible for employee benefits, insurance, or statutory entitlements.
Limitation of Liability
-
Adella Ovens is not liable for technical failures, tracking errors, or lost commissions due to circumstances beyond our control.
-
Our maximum liability in any dispute is the total commissions owed to you in the current month.
No Warranties
-
We provide the affiliate platform and tools "as is" without warranties of uninterrupted service.
-
We do not guarantee product availability, pricing stability, or market demand.
15. Data Privacy & Security

Your affiliate account data is protected in accordance with our Privacy Policy.
-
We may share your promotional activity with third-party analytics providers.
-
You consent to receive program-related communications via email.
-
You are responsible for protecting your account credentials; we are not liable for unauthorized access.
16. Dispute Resolution

Any disputes arising from these Terms will be subject to the laws of Malaysia.

We encourage affiliates to contact us within 30 days of any issue for resolution.
-
If informal resolution fails, disputes may be escalated to formal mediation or arbitration.
-
Affiliate participation constitutes agreement to binding arbitration in Malaysia.

18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full effect.
19. Entire Agreement
These Terms and Conditions constitute the entire agreement between you and Adella Ovens regarding the affiliate program. Previous agreements or verbal promises are superseded by this document.
Acknowledgment
By registering for the Adella Ovens Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. Your continued participation constitutes ongoing acceptance.
